We're coming for ebay one way or another. We are at the `another` part of the acquisition. RC will pull the ebay offer in order to make a tender offer directly to shareholders.

The initial corporate proposal was targeted at the board of directors and has been rejected. RC mentioned in multiple interviews that if the ebay board of directors does not want to talk to him he will take matters to the shareholders because in the end they have to decide who they want to run the company. RC also said we're coming for ebay one way or another. We are at the another part of the acquisition.

The tender offer would be made directly to shareholders. Such an offer would completely bypass ebay's board of directors. It would be a legally binding public offer regulated strictly by the SEC.

Consider that after RC made the initial offer and the ebay BoD rejected it, GME converted their options into just under 10% of ebay. He would not have done that if he was considering withdrawing.

Seeing how RC operates I would speculate the following:

  1. He has already presented his proposal to shareholders and has sufficient approval from them to go forward with this, as it is feasible. Given the approval the acquisition has increased in credibility, leading to last weeks' private exchange of $1.4 Billion of convertible senior notes for equity, as the counterparties have confidence in the upward movement of GME.
  2. He has already lined up the money necessary for the offer, between the TD letter, GME's own money and the private investment guys he has been around (saudi funds, maybe icahn or other investors we don't know about for sure).

Obviously I'm deep in speculation territory here, but I guess I choose to believe it is planned out and ready for execution. I guess we'll see.
