Contrary to popular belief, share buybacks ARE allowed during the current VWAP period (10b5-1 plans exist for exactly this)

A lot of people have been saying GME “can’t do buybacks while the debt-for-equity exchange is live” or during the 35-day VWAP window that started August 3.

That’s not accurate.

Rule 10b5-1 trading plans are specifically designed so a company can pre-schedule share repurchases and keep buying even through blackout periods, quiet periods, or while other corporate actions (like this private note exchange) are ongoing.

Domo Capital pointed this out today: GameStop could have easily put a 10b5-1 plan in place that would allow them to repurchase shares right through any blackout or the current VWAP calculation period. In fact, they expect the company may have already done exactly that.

The exchange itself does not legally prohibit buybacks. The $2B repurchase authorization approved in June remains active, and a properly adopted 10b5-1 plan would let them execute under it without violating insider-trading rules.

Just sharing the actual mechanics so the community has the correct information.
